EIF 2014:EU Audit Reform requiring rotation of external auditors presents challenges, according to Deloitte Ireland’s Insurance Lead.

 

WRIN.tv speaks with Glenn Gillard, Deloitte Ireland’s Insurance Lead about corporate governance practices and whether insurance companies were prepared for changes in regulation. 

 

According to Mr. Gilliard, “the biggest issues in corporate governance today come are related to the financial crisis when many banking failures, insurance failures, and overall financial system failures pointed to a governance failure. Since then, regulators have tried to put formal governance into legislation. The big challenge is to put in a framework and actually implement it in your organization.”

 

Mr. Gillard says “Solvency II is going to ...change how people look at governance and force managers to build it in at the overall board level and throughout their organizations… We get this concept of three lines of defense that comes through strongly in Solvency II. I think we’re going to see that evolve. “

 

EU Audit Reform is emerging due to corporate governance failures.  EU Audit legislation is looking at the auditor, the independence of the auditor, and whether or not they should rotate. Mr. Gilliard says there are issues with auditor rotation  "it takes time to get up to speed with companies, to understand what’s in there.”

 

One of the challenges for the corporate risk officer, Mr. Gilliard says, is “how you knit up the reporting requirements that are there, as different bodies bring in guidance like the FRC, like Solvency II, like guidance for chief risk officers for their own professional accreditation qualifications.  We see challenges in trying to bring these together into one single framework...one single set of risks that the company is consistently talking about, and consistently using in all of its communications…”   

 

ORSA is a 'transformational' piece of Solvency II, according to Mr. Gilliard.  It has “been adopted by pretty much all regulators…this concept that you have to make your own assessment of what your risks are, and look at them with a forward looking aspect. It seems intuitive, but is fairly fundamental to how you run your business. It's about governing - not the business of today - but the business of the future….ORSA...probably sits front and center within the management of the business, and forms a key tool for the governance of the organization, and particularly how you look at risks going forward …
